General terms and conditions for using Ragnetiq services

1Introductory Provisions
These Terms of Service (hereinafter referred to as "Terms") govern the relationship between Ragnetiq s.r.o. (hereinafter referred to as "Provider", "we" or "Ragnetiq") and users of our services (hereinafter referred to as "Client" or "you").
By using any Ragnetiq services, you agree to these Terms. If you do not agree with the Terms, please do not use our services.

2Definitions
For the purposes of these Terms, the following definitions apply:
- Services - all products and services provided by Ragnetiq, including AI Assistant, Dashboard and custom software development
- Client - a natural or legal person who uses Ragnetiq Services based on a contract
- User - a person who uses the Services on behalf of the Client
- AI Assistant - an artificial intelligence chatbot solution provided as a service (SaaS)
- Dashboard - a web application for managing and analyzing the AI Assistant
- Content - any texts, data, information or materials uploaded by the Client to the system
- Subscription - a recurring payment for using the Services
3Description of Services
Ragnetiq provides the following services:
AI Assistant (Chatbot)
Intelligent chatbot solution for customer support, available 24/7. The service includes custom design, integration with the Client's website, database management and access to the Admin Dashboard.
Custom Software Development
Websites, mobile applications, enterprise systems and AI automations. Terms for individual projects are defined in an individual contract.
Dashboard
Central overview of all metrics, analytics and AI Assistant management in real time.
4Registration and Access
Access to Services (Dashboard, AI Assistant management) is provided exclusively based on a contractual relationship with Ragnetiq.
Login credentials are generated by Ragnetiq and provided to the Client after signing the contract. The Client is responsible for the safe storage of these credentials and must not share them with third parties.
- The Client is responsible for all activities performed under their access credentials
- In case of suspected unauthorized access, the Client is obliged to immediately inform Ragnetiq
- Ragnetiq reserves the right to temporarily suspend access for security reasons
5Usage Rules
When using the Services, the Client agrees to:
- Use the Services in accordance with these Terms and applicable legal regulations
- Provide truthful and up-to-date information necessary for the functioning of the Services
- Not use the Services in a way that could harm Ragnetiq or third parties
- Inform Ragnetiq of any technical problems or errors
- Operate the AI Assistant exclusively at the agreed location (website, application) specified in the contract
The AI Assistant is a tool based on artificial intelligence. Although we strive for maximum accuracy, AI-generated responses may contain inaccuracies. The Client is responsible for verifying critical information provided by the chatbot to their customers.
6Prohibited Activities
The following activities are expressly prohibited when using the Services:
- Spam and Bulk Messages: Using the AI Assistant to send unsolicited messages
- Illegal Content: Uploading or generating content that violates the laws of the Slovak Republic and the EU
- Harmful Content: Attempts to generate harmful, hateful or misleading content
- Unauthorized Use: Operating the AI Assistant at a location other than contractually agreed
- Code Copying: Copying, reverse engineering or modifying the source code of the Services
- System Overloading: Intentional overloading of infrastructure or DDoS attacks
- Unauthorized Access: Attempts to access data of other Clients or Ragnetiq systems
Consequences of Violation: In case of violation of prohibited activities, Ragnetiq reserves the right to immediately suspend or terminate the provision of Services without entitlement to a subscription refund.
7Payment Terms
- Monthly Subscription: Billed monthly in advance, commitment on a monthly basis
- Annual Subscription: Billed annually in advance with a discount, 12-month commitment
- One-time Setup: Fee for chatbot setup and configuration
- Service prices are listed in the price list on the website or in an individual contract
- All prices are exclusive of VAT unless stated otherwise
- Invoices are due within 14 days of issue unless otherwise agreed
- In case of late payment, Ragnetiq reserves the right to suspend the provision of Services
Refunds: Ragnetiq does not provide a money-back guarantee. In case of dissatisfaction, please contact us and we will try to find a solution.
8Limitation of Liability
Ragnetiq makes reasonable efforts to ensure the smooth operation of Services. However, we do not guarantee uninterrupted availability of Services, which may be affected by technical outages, maintenance or circumstances beyond our control.
- Services are provided "as is" without any express or implied warranties
- Ragnetiq is not liable for indirect damages, lost profits or data loss caused by the use of Services
- The maximum amount of damages is limited to the amount of subscription paid for the last 12 months
- AI-generated responses may contain inaccuracies - Ragnetiq is not liable for decisions made based on these responses
Availability: We strive for maximum availability of Services, but we do not guarantee a specific SLA level. Availability conditions can be individually agreed upon in the contract.
9Intellectual Property
Intellectual property ownership rights are divided as follows:
All rights to software, source code, algorithms, design and technologies of the Services (including AI Assistant, Dashboard and all components) remain the exclusive property of Ragnetiq.
The Client remains the owner of all data, content and information uploaded to the system for the purpose of configuring the AI Assistant.
- The Client may not copy, modify or distribute the source code of the Services
- Use of the Ragnetiq logo and name requires prior written consent
- For custom software development, ownership rights are defined in an individual contract
10Service Termination
The contractual relationship may be terminated in the following ways:
- Monthly Subscription: By notice at the end of the current billing period
- Annual Subscription: By not exercising the option for automatic renewal before the period expires
- Immediate Termination: In case of a serious breach of Terms by the Client
- Mutual Agreement: At any time based on a written agreement of both parties
After termination of the contractual relationship, all Client data will be deleted or anonymized in accordance with GDPR within 30 days. Upon request, the Client may be provided with an export of their data before deletion.
11Final Provisions
These Terms are governed by the laws of the Slovak Republic. Any disputes will be resolved primarily through amicable means, and in case of failure, by the competent court of the Slovak Republic.
- Changes to Terms: Ragnetiq reserves the right to change these Terms at any time. We will inform you of changes by email at least 30 days in advance.
- Severability: If any provision of the Terms becomes invalid, the remaining provisions shall remain in effect.
- Entire Agreement: These Terms together with the contract constitute the entire agreement between the parties.
- Assignment: The Client is not entitled to assign rights and obligations from these Terms without prior consent of Ragnetiq.
